Terms & Conditions

These terms govern your access to and use of ComplianceEngine, the automated regulatory compliance platform operated by Endarc Limited. Please read them carefully before using the service.

Introduction

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Endarc Limited, a private limited company registered in England and Wales ("Endarc", "we", "us", or "our"), governing your access to and use of ComplianceEngine at compliance.endarc.co.uk ("the Service").

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Service immediately.

Service Description

ComplianceEngine is an automated regulatory intelligence platform that ingests publicly available Companies House filings and analyses them against 48+ UK statutory frameworks — including the Companies Act 2006, UK GDPR, and the Online Safety Act — to produce structured compliance reports.

Scope

Analysis is limited to data published via the Companies House public API and related open registers.

Output

Reports are diagnostic outputs, not legal instruments. They carry no binding legal authority.

Availability

We target 99.5% uptime but do not guarantee uninterrupted access. Maintenance windows are announced in advance.

All findings are derived from publicly available data and algorithmic analysis. Endarc Limited makes no representations as to the completeness, accuracy, or fitness for purpose of any report. Statutory references within reports are indicative only and must be independently verified by a qualified legal professional before any action is taken.

User Responsibilities

As a condition of access, you agree to the following obligations:

Accurate information

You must provide truthful and complete information when registering or submitting queries.

Account security

You are solely responsible for maintaining the confidentiality of your credentials and all activity under your account.

Lawful use

You must not use the Service for any unlawful, fraudulent, or unauthorised purpose, including competitive intelligence gathering in breach of applicable law.

System integrity

You must not attempt to probe, scan, or test system vulnerabilities, or circumvent any security or rate-limiting mechanism.

Professional review

You acknowledge that all outputs must be reviewed by a suitably qualified legal or compliance professional before being relied upon.

Payment & Billing

ComplianceEngine is available on a pay-per-report and subscription basis. All payments are processed by Stripe, Inc. ("Stripe") under Stripe's own terms of service. By completing a purchase, you authorise Endarc Limited to charge the applicable fees to your nominated payment method.

All fees are exclusive of VAT where applicable. Endarc Limited reserves the right to amend pricing with 30 days' written notice to subscribers. Fees paid are non-refundable except where required under the Consumer Rights Act 2015 or other applicable UK law.

Data Protection

Endarc Limited processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Our Privacy Policy, available at compliance.endarc.co.uk/privacy, sets out in full the categories of data we collect, our lawful bases for processing, retention periods, and your statutory rights as a data subject.

Query data submitted to the Service — including company names and numbers — is used solely to generate the requested report. We do not sell personal data to third parties.

Limitation of Liability

To the fullest extent permitted by English law, Endarc Limited's total aggregate liability to you — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the greater of (a) the fees paid by you in the 12 months preceding the claim, or (b) £100.

Endarc Limited shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, revenue, data, goodwill, or business opportunity, even if advised of the possibility of such loss.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.

Intellectual Property

All software, algorithms, methodologies, trade marks, and content comprising ComplianceEngine are the exclusive property of Endarc Limited and are protected under UK and international intellectual property law.

Reports generated by the Service are licensed to you for internal business use only. You may not resell, redistribute, or sublicense report content without Endarc's prior written consent. Automated scraping, crawling, or bulk extraction of Service data is strictly prohibited.

Termination

Either party may terminate a subscription with 30 days' written notice. Endarc Limited reserves the right to suspend or terminate access immediately, without notice, where we reasonably believe you have breached these Terms, engaged in fraudulent activity, or where continued access poses a security or legal risk.

On termination, your right to access the Service ceases immediately. Provisions that by their nature survive termination — including clauses 3, 7, 8, and 10 — shall remain in full force.

Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales. Each party irrevocably submits to the exclusive jurisdiction of the courts of England and Wales.
